Welcome to www.thebsuite.co ("Site"), a platform operated by B Suite ("we", "us", or "our"). This Site connects equity-centered organizations with emerging-to-senior fractional executives from our vetted and virtual Suite, bridging the gaps on your team with diverse talent. By accessing or using our Site, you ("you", "your", or "user") signify that you have read, understand, and agree to be bound by these Terms of Service ("Terms"), regardless of whether you are a registered user of our services.

1. Acceptance of Terms

By accessing or using our services, you agree to these Terms and to our Privacy Policy, which can be accessed at www.thebsuite.co/privacy. If you do not agree to these Terms or the Privacy Policy, you must not access or use our Site.

2. Changes to Terms

We reserve the right to modify these Terms at any time. If we make changes to these Terms, we will provide notice of such changes, such as by sending an email notification, providing notice through our services, or updating the "Last Updated" date at the end of these Terms. Your continued use of our services will confirm your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using our services.

• Engage in any harassing, threatening, intimidating, predatory or stalking conduct.

• Use or attempt to use another user’s account without authorization from that user and B Suite.

• Use our services in any manner that could interfere with, disrupt, negatively affect or inhibit other users from fully enjoying our services or that could damage, disable, overburden or impair the functioning of our services in any manner.

• Reverse engineer any aspect of our services or do anything that might discover source code or bypass or circumvent measures employed to prevent or limit access to any part of our services.

• Attempt to circumvent any content-filtering techniques we employ or attempt to access any feature or area of our services that you are not authorized to access.

• Develop or use any third-party applications that interact with our services without our prior written consent.

• Use our services for any illegal or unauthorized purpose, or engage in, encourage or promote any activity that violates these Terms.

 

6. Termination

We reserve the right, without notice and in our sole discretion, to terminate your right to access or use our services. We are not responsible for any loss or harm related to your inability to access or use our services.

 

7. Dispute Resolution

Any disputes arising out of or relating to these Terms or use of our services will be resolved in accordance with the laws of the District of Columbia, without regard to its conflict of law rules.

 

8. Indemnification

You agree to indemnify and hold harmless B Suite and its officers, directors, employees, agents, and affiliates from any and all claims, suits, losses, damages, liabilities, costs, and expenses, including attorney’s fees, arising from or related to: (a) your use of our services; (b) your violation of these Terms, or any law or the rights of any third party; and (c) any content submitted or posted by you to our services.

 

9. Intellectual Property Rights

All content, design, graphics, compilation, magnetic translation, digital conversion and other matters related to our services are protected under applicable copyrights, trademarks and other proprietary rights. The copying, redistribution, use or publication by you of any part of our services, unless expressly permitted in these Terms, is strictly prohibited.

 

10. Limitation of Liability

To the fullest extent permitted by applicable law, B Suite will not be liable to you for any indirect, incidental, special, consequential or punitive damages arising out of or relating to your access to or use, or your inability to access or use, our services or any materials or content on our services, whether based on warranty, contract, tort (including negligence), statute or any other legal theory, whether or not B Suite has been informed of the possibility of such damage.
